    Why Finance Executives Walk Into Negotiations Already At War

A composite of dozens of finance executives I have coached before major deals shows the pattern: he studies the term sheet twice, models three counter-scenarios, and walks in ready. Ready does not mean calm. He has already decided the other side is coming in bad faith, and nothing they say will move him off that read.

    When I ask what he tells himself the morning of the negotiation, he says: “These guys always lowball at the last minute. That’s how their firm operates. They’re not walking in here and pulling that on us.”

    That is the Unconscious Reflex called Being Right: needing to be right, and arguing against ever being wrong. This is a verdict on the other side, delivered before the meeting starts and immune to anything that happens once it does, not an analysis of the actual deal terms.

    The Motive: Why the Mind Locks the Verdict In

    The Hidden Motive To Survive underneath this Unconscious Reflex is Hatred: the fear that if you accept what is different, then you won’t survive.

    Notice what his language targets: not “this deal has risk” or “the terms need work,” but “these guys,” an unfamiliar counterparty rendered as a category before any real exchange happens. Being right that the other side is the problem is how the mind protects itself from a firm it has not fully sized up. Conceding an inch would mean accepting the unfamiliar might not be dangerous, and that acceptance is exactly what Hatred is built to prevent.

    The interplay runs on repeat: Hatred fires Being Right, certainty about the other side hardens before the negotiation opens, and the executive spends the room defending a verdict instead of reading the deal in front of him.

    Why the Runner-Up Did Not Match

    The second pairing I considered was the Hidden Motive To Survive called Resistance driving the same Unconscious Reflex. Resistance is the fear that if you submit to what is, then you won’t survive, and in its purest form produces a flat refusal of reality itself: “No, that’s not what happened. Let me tell you what happened.” The self-talk Resistance predicts is generalized, rejecting facts on principle regardless of who delivers them.

    That is not this executive’s language. His certainty is aimed at the counterparty as a category, not at the deal’s facts in the abstract. He does not dispute the numbers. He disputes the other firm’s character before the numbers are discussed. Resistance would sound the same regardless of who sat across the table. Hatred needs a specific unfamiliar “them” to aim at, and this executive names one precisely. The language selected Hatred.

    Recontextualization: Disproving the False Conditional

    The false conditional Hatred carries is: if you accept what is different, you will not survive. That conditional is false. The firm across the table is unfamiliar, not automatically hostile. Treating every unknown counterparty as an adversary before the first term is exchanged is autopilot, not due diligence. Recontextualization disproves the conditional with the truth that was always available. The Domain of Thriving that corresponds to Hatred is Kind: knowing you are safe to do good.

    Being safe to extend good faith does not mean walking in naive. It means the mind is quiet enough to read the room instead of confirming a verdict written before the meeting. Many of the strongest deals I have watched close came from an executive who let the mind settle enough to notice the other side was negotiating in good faith after all. With the Hatred Motive released, the mind goes quiet.

    That is the crossing into the Domain of Thriving called Kind.

    The Practice

    Catch it. When you feel certain about the other side’s bad intent before the meeting starts, that is the Unconscious Reflex called Being Right. The tell sounds like a verdict: “That’s just how they operate.”

    Name it. If the certainty targets the counterparty as an unfamiliar category rather than the deal’s actual terms, the Hidden Motive To Survive is Hatred.

    Recontextualize it. The false conditional is: if I accept what is different, I will not survive. Unfamiliar is not automatically dangerous.
